| AN ACT |
| |
1 | Amending Title 64 (Public Authorities and Quasi-Public |
2 | Corporations) of the Pennsylvania Consolidated Statutes, |
3 | providing for the definition of "small business"; and further |
4 | providing for indebtedness and for Second Stage Loan Program. |
5 | The General Assembly of the Commonwealth of Pennsylvania |
6 | hereby enacts as follows: |
7 | Section 1. Section 1504 of Title 64 of the Pennsylvania |
8 | Consolidated Statutes is amended by adding a definition to read: |
9 | § 1504. Definitions. |
10 | The following words and phrases when used in this chapter |
11 | shall have the meaning given to them in this section unless the |
12 | context clearly indicates otherwise: |
13 | * * * |
14 | "Small business." A company that is engaged in a for-profit |
15 | enterprise and that employs no more than 100 individuals. |

17 | Section 2. Sections 1543(b)(8) and 1553 of Title 64 are |
18 | amended to read: |

1 | § 1543. Indebtedness. |
2 | * * * |
3 | (b) Program limitations.--Indebtedness incurred by the |
4 | authority under subsection (a) shall not, in aggregate, exceed |
5 | any of the following: |
6 | * * * |
7 | (8) $50,000,000 for the program established in section |
8 | 1553 (relating to [Second Stage Loan] Small Business |
9 | Investment Guarantee Program). |

11 | § 1553. [Second Stage Loan] Small Business Investment Guarantee |
12 | Program. |
13 | (a) Establishment.--There is established a program to be |
14 | known as the [Second Stage Loan] Small Business Investment | <-- |
15 | Guarantee Program. The program shall provide loan guarantees to |
16 | commercial lending institutions or eligible entities economic | <-- |
17 | development organizations that make loans to [life sciences, |
18 | advanced technology or manufacturing businesses] Pennsylvania- | <-- |
19 | related businesses for projects small businesses located in | <-- |
20 | Pennsylvania that are not engaged in commercial, services, |
21 | retail or agriculture production activities, except that a |
22 | guarantee may be approved for a small business engaged in the |
23 | activities if it is located in an underserved area of a |
24 | distressed community. |
25 | (b) Application for enrollment.--A commercial lending |
26 | institution or an eligible entity economic development | <-- |
27 | organization may apply for enrollment in the program authorized |
28 | by this section. The application shall be on the form prescribed |
29 | by the board and shall include or demonstrate all of the |
30 | following: |

1 | (1) The name and address of the commercial lending |
2 | institution or eligible entity economic development | <-- |
3 | organization and the name and title of the individual who |
4 | will serve as the point of contact for the commercial lending |
5 | institution or eligible entity economic development | <-- |
6 | organization. |
7 | (2) A statement defining the service area of the |
8 | commercial lending institution or the jurisdiction of the | <-- |
9 | eligible entity economic development organization. | <-- |
10 | (3) A statement describing the commercial lending |
11 | activities engaged in by the commercial lending institution |
12 | or eligible entity economic development organization and how | <-- |
13 | the institution intends to expand those activities as a |
14 | result of its participation in the program authorized by this |
15 | section. |
16 | (3.1) A statement describing any lending activities |
17 | associated with the economic development functions of the |
18 | eligible entity and how the eligible entity economic | <-- |
19 | development organization and how the economic development |
20 | organization intends to expand or supplement those lending |
21 | activities through participation in the program authorized |
22 | under this section. |
23 | (4) Any other information required by the board. |
24 | (c) Enrollment approval.--Upon being satisfied that all |
25 | requirements have been met, the board may enroll the commercial |
26 | lending institution or eligible entity economic development | <-- |
27 | organization in the program authorized by this section, and, if |
28 | enrolled, the authority shall execute a master loan guarantee | <-- |
29 | agreement in favor of the commercial lending institution or |
30 | eligible entity economic development organization. In addition | <-- |
|
1 | to any other terms and conditions required by the board, the |
2 | master loan guarantee agreement shall provide for the following: | <-- |
3 | (1) The procedure for the submission of a claim for |
4 | payment by the commercial lending institution or eligible | <-- |
5 | entity economic development organization. This procedure | <-- |
6 | shall require that the commercial lending institution or |
7 | eligible entity economic development organization demonstrate | <-- |
8 | that it has exhausted all available remedies against the |
9 | borrower, other guarantors and collateral for the loan before |
10 | seeking payment under the agreement. |
11 | (2) A requirement that a percentage of any moneys |
12 | recovered by the commercial lending institution or eligible | <-- |
13 | entity economic development organization subsequent to any | <-- |
14 | payment made under the master loan guarantee agreement by the | <-- |
15 | authority be remitted to the authority. |
16 | (3) Periodic reporting requirements by the commercial |
17 | lending institution or eligible entity economic development | <-- |
18 | organization regarding itself and regarding the [loans for | <-- |
19 | which] loan guarantee certificates that have been issued | <-- |
20 | under this section. |
21 | (d) Application for loan guarantee.--A commercial lending | <-- |
22 | institution or eligible entity economic development organization | <-- |
23 | enrolled in the program authorized by this section may submit an |
24 | application to the authority for [the guarantee of a proposed | <-- |
25 | loan] a loan guarantee. The application shall be on the form | <-- |
26 | prescribed by the board and shall include or demonstrate all of |
27 | the following: |
28 | (1) The name and address of the borrower, the type of |
29 | small business the borrower conducts, the location and age of | <-- |
30 | the small business and the names and addresses of the | <-- |
|
1 | principals of the borrower. |
2 | (2) The number of projected new or retained employees of |
3 | the borrower as a result of the loan. |
4 | (3) A copy of the borrower's last two years of financial |
5 | statements prepared or reported on by an independent |
6 | certified public accountant. |
7 | (4) A statement describing the purpose of the loan, the |
8 | requested amount of the loan, a copy of the commercial |
9 | lending institution's or eligible entity's economic | <-- |
10 | development organization's commitment letter and applicable |
11 | credit underwriting that supports the repayment of the loan, |
12 | as well as the collateral and other [guarantees] documents | <-- |
13 | offered by the borrower to support the loan. |
14 | (4.1) A statement describing the need for the guarantee, | <-- |
15 | including the likelihood that the projects can be completed |
16 | without the loan guarantee, indicating that the project is | <-- |
17 | unlikely to proceed without the loan guarantee. |
18 | (5) Any other information required by the board. |
19 | (e) Application review.-- |
20 | (1) The board shall review the application to determine |
21 | all of the following: |
22 | (i) That the borrower owns and operates a [life |
23 | sciences, advanced technology or manufacturing] | <-- |
24 | Pennsylvania-related business business] small business | <-- |
25 | located in Pennsylvania. |
26 | [(ii) [That the borrower's business has been in | <-- |
27 | existence for at least two years but no more than seven |
28 | years at the time of application.] (Reserved). | <-- |
29 | (iii) That the borrower is financially responsible |
30 | and has the ability to repay the loan. |

1 | (iv) That the use of loan proceeds by the borrower |
2 | will result in jobs being created or retained within this |
3 | Commonwealth. |
4 | (v) That the borrower's small business is located | <-- |
5 | within the commercial lending institution's service area |
6 | or within the eligible entity's economic development | <-- |
7 | organization's jurisdiction and within this Commonwealth. |
8 | (v.1) That the project is unlikely to proceed |
9 | without a loan guarantee. |
10 | (vi) That the borrower and the commercial lending |
11 | institution or the eligible entity economic development | <-- |
12 | organization have met all other requirements established |
13 | by the board. |
14 | (2) Upon being satisfied that all requirements have been |
15 | met, the board may approve the loan guarantee, and, if | <-- |
16 | approved, the authority shall issue a loan guarantee | <-- |
17 | certificate [for the loan] to the commercial lending | <-- |
18 | institution or eligible entity economic development | <-- |
19 | organization stating the terms and amount of the loan | <-- |
20 | guarantee. |
21 | (3) [The board may establish a subcommittee composed of | <-- |
22 | one or more members of the board and staff of the department |
23 | to review and approve applications for guarantees under this |
24 | section.] (Reserved). | <-- |
25 | (4) Priority shall be given to applications for loan |
26 | guarantees for projects related to the life sciences, |
27 | advanced technology or manufacturing. |
28 | (f) Limitations.-- |
29 | [(1) During the first two years of the term of a loan |
30 | for which a guarantee certificate has been issued, the |

1 | guarantee may not exceed 50% of the outstanding principal |
2 | amount of the loan. From the end of year two through either |
3 | the end of year seven or the end of the term of the loan, |
4 | whichever occurs first, the guarantee may not exceed 25% of |
5 | the outstanding principal amount of the loan. The guarantee |
6 | will terminate at the end of seven years.] |
7 | (1.1) The board may not approve a loan guarantee unless | <-- |
8 | the borrower has an equity investment of at least 10% of the |
9 | total cost of the project from nonpublic sources. |
10 | (2) At no time may a loan guarantee exceed [$1,000,000] | <-- |
11 | $2,000,000 $1,000,000 for any one loan. | <-- |
12 | (3) At no time may a loan guarantee exceed 40% 50% of | <-- |
13 | the outstanding principal amount of the loan, except that in | <-- |
14 | the case of a loan to a small business a guarantee may not |
15 | exceed 100% of the principal amount of the loan. |
16 | (4) The board may not approve a loan guarantee for any | <-- |
17 | project directly or indirectly related to the conduct of |
18 | gaming as defined in 4 Pa.C.S. § 1103 (relating to |
19 | definitions). |
20 | (g) Definitions.--For purposes of this section, an "eligible | <-- |
21 | entity" shall mean a political subdivision, a municipal |
22 | authority, a redevelopment authority, an industrial development |
23 | corporation or any board, commission or other agency or |
24 | instrumentality of a political subdivision, municipal authority, |
25 | redevelopment authority or industrial development corporation. |
26 | (g) Definitions.--As used in this section, the following | <-- |
27 | words and phrases shall have the meanings given to them in this |
28 | subsection unless the context clearly indicates otherwise: |
29 | "Distressed community." Any of the following: |
30 | (1) An area which is designated a subzone, expansion |
|
1 | subzone or improvement subzone under the act of October 6, |
2 | 1998 (P.L.705, No.92), known as the Keystone Opportunity |
3 | Zone, Keystone Opportunity Expansion Zone and Keystone |
4 | Opportunity Improvement Zone Act. |
5 | (2) Any other area designated as a distressed community |
6 | according to standards adopted by the authority. |
7 | "Economic development organization." A community development |
8 | financial institution, an industrial development agency or a |
9 | local development district that is certified by the authority as |
10 | possessing the qualifications necessary to evaluate and approve |
11 | applications to the authority for financial assistance. |
12 | Section 3. This act shall take effect in 60 days. |
