1Amending Title 15 (Corporations and Unincorporated Associations)
2of the Pennsylvania Consolidated Statutes, further providing
3for purposes of limited liability companies.

4The General Assembly of the Commonwealth of Pennsylvania
5hereby enacts as follows:

6Section 1. Section 8911(a) of Title 15 of the Pennsylvania
7Consolidated Statutes is amended by adding a paragraph to read:

8§ 8911. Purposes.

<-9(a) General rule.--Limited liability companies may be
10organized under this chapter for any lawful purpose, except for
11the purpose of banking or insurance. Unless otherwise restricted
12in its certificate of organization, every limited liability
13company has as its purpose the engaging in all lawful business
14for which limited liability companies may be organized under
15this chapter. Nothing in this section shall prohibit the
16following:

<-17(a) General rule.--Limited liability companies may be
 

1organized under this chapter for any lawful purpose, except for 
2the purpose of insurance. Unless otherwise restricted in its 
3certificate of organization, every limited liability company has 
4as its purpose the engaging in all lawful business for which 
5limited liability companies may be organized under this chapter. 
6Nothing in this section shall prohibit the following:

8(3) A limited liability company organized by one or more
9corporations for the sole purpose of operating a health
10maintenance organization.

12Section 2. This act shall take effect in 60 days.
