AN ACT 1 Amending Title 15 (Corporations and Unincorporated Associations) 2 of the Pennsylvania Consolidated Statutes, providing for 3 information availability on an Internet website; and further 4 providing for articles of incorporation. 5 The General Assembly of the Commonwealth of Pennsylvania 6 hereby enacts as follows: 7 Section 1. Title 15 of the Pennsylvania Consolidated 8 Statutes is amended by adding a section to read: 9 § 141. Internet website. 10 The Department of State shall make available on a publicly 11 accessible Internet website all of the following information: 12 (1) The intention to file by incorporators or the filing 13 by a corporation of articles of incorporation with the 14 department. 15 (2) The application for registration or the registration 16 of all of the following: 17 (i) A partnership. 18 (ii) A limited liability partnership.
1 (iii) A limited liability company. 2 (3) All of the following information for an entity 3 intending to file, filing, applying or registering under 4 paragraph (1) or (2): 5 (i) The name of the proposed entity. 6 (ii) A statement that the entity is to be or has 7 been organized under this title. 8 (iii) The purpose of the entity. 9 (iv) The time of filing the articles or applying or 10 registration with the department. 11 Section 2. Section 7704(a) of Title 15 is amended to read: 12 § 7704. Articles of incorporation. 13 (a) [Advertisement.--The incorporators shall advertise their 14 intention to file or the corporation shall advertise the filing 15 of articles of incorporation with the department one time in two 16 newspapers of general circulation, one of which shall be a 17 newspaper designated by the rules of court for the publication 18 of legal notices, or in two newspapers of general circulation 19 published in the county in which the initial registered office 20 of the corporation is to be located. If there is only one 21 newspaper of general circulation published in a county, 22 advertisements in that newspaper shall be sufficient. 23 Advertisements may appear prior to or after the day the articles 24 of incorporation are filed with the department and shall set 25 forth briefly: 26 (1) The name of the proposed corporation. 27 (2) A statement that the corporation is to be or has 28 been organized under this chapter. 29 (3) The purpose of the corporation. 30 (4) The time of filing the articles with the 20050H1906B2611 - 2 -
