AN ACT
1 Amending the act of November 15, 1972 (P.L.1063, No.271),
2 entitled "An act amending the act of November 25, 1970
3 (P.L.707, No.230), entitled 'An act codifying and compiling a
4 part of the law of the Commonwealth,' adding provisions
5 relating to burial grounds, corporations, including
6 corporations not-for-profit, educational institutions,
7 private police, certain charitable or eleemosynary
8 institutions, certain nonprofit insurers, service of process
9 on certain nonresident persons, names, prescribing penalties
10 and making repeals," changing certain registration
11 requirements from the Department of Revenue to the Department
12 of State, deleting a penalty and repealing certain filing
13 requirements.
14 The General Assembly of the Commonwealth of Pennsylvania
15 hereby enacts as follows:
16 Section 1. Section 8, act of November 15, 1972 (P.L.1063,
17 No.271), entitled "An act amending the act of November 25, 1970
18 (P.L.707, No.230), entitled 'An act codifying and compiling a
19 part of the law of the Commonwealth,' adding provisions relating
20 to burial grounds, corporations, including corporations not-for-
21 profit, educational institutions, private police, certain
22 charitable or eleemosynary institutions, certain nonprofit
23 insurers, service of process on certain nonresident persons,
1 names, prescribing penalties and making repeals," is amended to
2 read:
3 Section 8. [(a)] Every domestic or foreign corporation not-
4 for-profit incorporated under any law of this Commonwealth,
5 general or special, or incorporated under the laws of any other
6 state and doing business in this Commonwealth, before going into
7 operation, shall register with the Department of [Revenue] State
8 the name of the corporation, the date of incorporation, the Act
9 of Assembly or authority under which it was incorporated, the
10 place of business, the post-office address, the name of the
11 president, chairman, secretary and treasurer, the amount of
12 capital authorized by its articles of incorporation, and the
13 amount of capital paid into its treasury. Every such corporation
14 shall annually notify the Department of [Revenue] State of any
15 change in its officers.
16 [(b) Any corporation which shall neglect or refuse to
17 register with the Department of Revenue as required by
18 subsection (a) of this section, shall be subject to a penalty of
19 $500, which penalty shall be collected on an account settled by
20 the Department of Revenue in the same manner as taxes on capital
21 stock are settled and collected.]
22 Section 2. Section 503 of Title 54, act of November 25, 1970
23 (P.L.707, No.230), known as the Pennsylvania Consolidated
24 Statutes, is hereby repealed.
25 Section 3. (a) Section 1 of this amendatory act shall take
26 effect in 60 days.
27 (b) Section 2 of this amendatory act shall take effect
28 immediately and shall be retroactive to January 1, 1980.
