                                     AN ACT

     1  Amending Title 15 (Corporations and Unincorporated Associations)
     2     of the Pennsylvania Consolidated Statutes, providing for
     3     recording of articles of incorporation of nonprofit
     4     corporations.

     5     The General Assembly of the Commonwealth of Pennsylvania
     6  hereby enacts as follows:
     7     Section 1.  As much as relates to sections 7318 and 7319 of
     8  the subchapter analysis of Subchapter B of Chapter 73 of Title
     9  15, act of November 25, 1970 (P.L.707, No.230), known as the
    10  Pennsylvania Consolidated Statutes, added November 15, 1972
    11  (P.L.1063, No.271), are amended to read:

    17  7319.  Effect of filing and recording of articles of
    18         incorporation.

     1     Section 2.  Sections 7318 and 7319 of the act are amended to
     2  read:
     3  § 7318.  Filing and recording of articles.
     4     (a)  Filing.--The articles of incorporation shall be filed in
     5  the Department of State.
     6     (b)  Recording.--The articles of incorporation shall be
     7  recorded in the office of the recorder of deeds of the county in
     8  which the principal office of the corporation in this
     9  Commonwealth is located.
    10  § 7319.  Effect of filing and recording of articles of
    11           incorporation.
    12     Upon the filing of the articles of incorporation in the
    13  Department of State, the corporate existence shall begin.
    14  Subject to the provisions of section 7990 of this title
    15  (relating to actions to revoke corporate franchises), the
    16  articles of incorporation filed in the Department of State, and
    17  recorded in the office of the recorder of deeds of the county in
    18  which the principal office of the corporation in this
    19  Commonwealth is located, or approved by the court and recorded
    20  in the office of the recorder of deeds under the former
    21  provisions of law, shall be conclusive evidence of the fact that
    22  the corporation has been incorporated.
    23     Section 3.  This act shall take effect in 60 days.
