                                     AN ACT

     1  Amending Title 15 (Corporations and Unincorporated Associations)
     2     of the Pennsylvania Consolidated Statutes, providing for
     3     annual reports for profit corporations.

     4     The General Assembly of the Commonwealth of Pennsylvania
     5  hereby enacts as follows:
     6     Section 1.  Title 15 of the Pennsylvania Consolidated
     7  Statutes is amended by adding a section to read:
     8  § 508.  Annual report.
     9     (a)  Requirement.--By January 31 of each year, a corporation
    10  for profit that has effected any change in its officers during
    11  the preceding calendar year shall file in the department a
    12  statement executed by the corporation and setting forth:
    13         (1)  The name of the corporation.
    14         (2)  The street address of its principal office.
    15         (3)  The names and titles of the persons who are its
    16     principal officers.
    17     (b)  Fee.--No fee shall be charged for effecting a filing

     1  under this section.
     2     (c)  Penalty.--The department may assess an administrative
     3  penalty of $1,000 against a corporation for profit which
     4  violates this section. This subsection is subject to 2 Pa.C.S.
     5  Ch. 5 Subch. A (relating to practice and procedure of
     6  Commonwealth agencies) and Ch. 7 Subch. A (relating to judicial
     7  review of Commonwealth agency action).
     8     Section 2.  This act shall take effect in 60 days.
