AN ACT 1 Providing for shared equity financing of professional sports 2 organizations; and conferring powers and duties on the 3 Department of Community and Economic Development. 4 The General Assembly of the Commonwealth of Pennsylvania 5 hereby enacts as follows: 6 Section 1. Short title. 7 This act shall be known and may be cited as the Shared Equity 8 Sports Contribution Act. 9 Section 2. Declaration of policy. 10 The General Assembly finds and declares as follows: 11 (1) Public funds are often used to aid sports 12 organizations. 13 (2) There should be some accountability for those 14 expenditures. 15 Section 3. Definitions. 16 The following words and phrases when used in this act shall 17 have the meanings given to them in this section unless the
1 context clearly indicates otherwise: 2 "Application." A written request for capital sports 3 financing made by a host municipality or a sports organization 4 to the Commonwealth. 5 "Appreciated amount." The difference between: 6 (1) subsequent value; and 7 (2) base value. 8 "Base value." The fair market value of a sports organization 9 on the date of application, as determined by an independent 10 appraiser nationally recognized for expertise in the valuation 11 of sports organizations. 12 "Capital sports cost." The cost necessary to construct, 13 maintain or improve a facility. 14 "Capital sports financing." A capital budget appropriation 15 to assist any municipality, municipal authority, sports 16 organization or other entity with a capital sports cost. 17 "Department." The Department of Community and Economic 18 Development of the Commonwealth. 19 "Facility." A place where a professional sporting event is 20 conducted by a sports organization. 21 "Host municipality." A municipality in which a facility is 22 located at the time of application. 23 "Sharing condition." Any of the following which occur after 24 capital sports financing is utilized: 25 (1) Transfer, with or without consideration, of more 26 than 50% of the assets of a sports organization. 27 (2) Transfer, with or without consideration, of more 28 than 50% of the equity of a sports organization. 29 (3) Relocation of the sports organization's facility so 30 that events involving the professional sports franchise of 19990H0107B0089 - 2 -
1 the sports organization are exhibited in a municipality other 2 than the host municipality. 3 "Sports organization." A sole proprietorship, partnership, 4 association or corporation that: 5 (1) owns a professional sports franchise; and 6 (2) exhibits events involving that professional sports 7 franchise at a facility. 8 "Subsequent value." The fair market value of a sports 9 organization on the date of occurrence of a sharing condition, 10 as determined by an independent appraiser nationally recognized 11 for expertise in the valuation of sports organizations. 12 Section 4. Department. 13 The department has the following powers and duties: 14 (1) To enter into agreements under section 5(a). 15 (2) To enforce equity sharing under section 5(b). 16 Section 5. Capital sports financing. 17 (a) Agreement.--If capital sports financing is utilized, the 18 department shall enter into an agreement with a sports 19 organization and a host municipality. 20 (b) Equity sharing.--The agreement under subsection (a) must 21 require a sports organization to do all of the following: 22 (1) Agree, in compliance with section 1 of the act of 23 May 13, 1927 (P.L.985, No.475), known as the Uniform Written 24 Obligations Act, to do all of the following upon the 25 occurrence of a sharing condition: 26 (i) Pay to the Commonwealth the greater of: 27 (A) The percentage of the appreciated amount 28 which the capital sports financing bears to the 29 capital sports cost; or 30 (B) 5% of the base value. 19990H0107B0089 - 3 -
1 (ii) Pay to the host municipality the greater of: 2 (A) the percentage of the appreciated amount 3 which the capital sports financing bears to the 4 capital sports cost; or 5 (B) 5% of the base value. 6 (2) Post bond for the performance of obligations under 7 paragraph (1) which is: 8 (i) satisfactory to the department; and 9 (ii) in the amount of 20% of the base value. 10 Section 6.
